1. Introduction

Welcome to OneAI (“Platform,” “Service,” or “OneAI”), operated by OneAi Limited, a company incorporated under the laws of the People’s Republic of Bangladesh (“OneAI,” “Company,” “we,” “our,” or “us”).

These Terms & Conditions (“Terms”) govern your access to and use of the OneAI website, mobile applications, AI-powered features, subscriptions, and related services.

By accessing, registering for, subscribing to, or using OneAI, you acknowledge that you have read, understood, and agreed to these Terms, our Privacy Policy, and any other applicable policies published by OneAI.

If you do not agree to these Terms, you must immediately discontinue using the Platform.

2. About OneAI

OneAI is an AI productivity platform that provides access to multiple artificial intelligence models and AI-powered tools through a unified platform and subscription structure.

Depending on your subscription plan, supported features may include:

AI Chat and conversational assistants
AI Search and information retrieval
AI Writing and content generation
AI Coding and programming assistance
AI Research and analysis
AI Agents and conversational agent features
AI Image Generation and editing
AI Video Generation
AI Presentation and document generation
PDF and file analysis
Translation and summarization
Other productivity tools and AI-powered services

Features, models, usage limits, pricing, and availability may vary by subscription plan, third-party provider, technical requirements, and applicable policies.

OneAI reserves the right to introduce, modify, suspend, replace, or discontinue any feature, model, or service, subject to applicable law.

3. Account Registration and Eligibility

To use OneAI, you agree to:

Provide accurate, complete, and current registration information.
Maintain the confidentiality of your login credentials and account information.
Take reasonable steps to prevent unauthorized access to your account.
Notify OneAI promptly if you suspect unauthorized access or misuse.
Accept responsibility for activities conducted through your account, to the extent permitted by applicable law.
Use the Platform in compliance with these Terms and applicable laws.

You must meet the minimum legal age and capacity requirements applicable to your use of the Platform in Bangladesh. Where parental or guardian consent is legally required, such consent must be obtained before use.

You must not impersonate another person, provide fraudulent information, create accounts for unlawful purposes, or transfer, resell, or share your account without OneAI’s prior written authorization.

4. Subscription Plans, Payments and Billing

OneAI may offer free trials, free plans, and paid subscription plans.

Available payment methods may include:

Mobile financial services, including bKash and Nagad
Debit and credit cards
Bank payment facilities
Mobile network operator or carrier billing
Direct carrier billing and other supported payment channels
Other payment methods introduced by OneAI

The availability of payment methods depends on the user's location, payment provider, subscription channel, and applicable arrangements.

4.1 Automatic Renewal

Subscriptions may renew automatically at the end of each billing period unless cancelled before the next renewal date, subject to the applicable subscription terms.

By purchasing an automatically renewing subscription, you authorize the relevant payment provider to collect the applicable subscription fees and taxes through your selected payment method.

4.2 Pricing and Taxes

Subscription prices, promotional offers, applicable taxes, and billing periods will be displayed through the relevant purchase channel.

Prices may change from time to time. Changes will apply to future billing periods, subject to applicable law and any required notice.

You are responsible for applicable taxes and charges, except where OneAI or the payment provider is legally required to collect or pay them.

4.3 Third-Party Payments

Payments processed through mobile operators, app stores, banks, payment gateways, or other third-party providers may also be subject to their respective terms and conditions.

OneAI is not responsible for delays or failures caused by third-party payment systems beyond its reasonable control.

4.4 Cancellation

You may cancel your subscription through the applicable account settings, payment channel, app store, or service provider.

Cancellation generally prevents future renewals but does not automatically terminate the current paid subscription period unless otherwise stated by the applicable subscription terms or required by law.

5. Refund and Cancellation Policy

Except where required by applicable law or expressly stated otherwise by OneAI, subscription payments are non-refundable.

Cancelling a subscription does not automatically entitle you to a refund for the unused portion of the current billing period.

Refund eligibility may depend on the payment channel, applicable consumer protection requirements, duplicate charges, billing errors, or other circumstances recognized under applicable law.

Where a refund is legally required or approved under an applicable policy, it will be processed through the relevant payment method or provider, subject to its procedures.

OneAI does not guarantee refunds merely because:

An AI response was inaccurate or incomplete.
An AI-generated image or video did not meet your expectations.
A model produced an undesirable result.
You did not use all available subscription features.
A third-party AI model changed its behavior or availability.

Nothing in this section excludes any refund or other right that cannot lawfully be excluded.

6. Fair Use Policy and Usage Restrictions

OneAI aims to provide a reliable, secure, and high-quality service to all users.

Certain AI models, advanced features, image generation, video generation, file processing, AI agents, and other resource-intensive services may be subject to usage limits, daily limits, rate limits, processing restrictions, or fair use controls.

OneAI may apply reasonable restrictions where necessary to:

Prevent abuse, fraud, and unauthorized access.
Protect the Platform and third-party AI services.
Manage excessive or automated usage.
Maintain service quality and availability.
Comply with contractual obligations and applicable law.

Where unusual, excessive, suspicious, or abusive activity is detected, OneAI may temporarily restrict usage, reduce processing priority, require additional verification, or suspend access as appropriate.

Subscription descriptions such as “unlimited” do not mean unrestricted use without any technical, security, provider-imposed, or fair use limitations.

7. Third-Party AI Models and Service Providers

OneAI integrates technologies and services provided by independent third-party AI companies. These may include OpenAI, Google, Anthropic, xAI, DeepSeek, Perplexity, and other providers available from time to time.

Each third-party provider may operate under its own terms of service, acceptable use policies, privacy practices, technical limitations, and content restrictions.

You acknowledge and agree that:

AI models accessible through OneAI are developed, maintained, and operated by their respective providers.
AI-generated responses and media may be influenced by the capabilities, limitations, policies, and behavior of the underlying model.
Third-party providers may update, restrict, replace, or discontinue their models or services.
OneAI does not control every aspect of third-party model behavior or output.
Model availability, performance, response quality, processing time, and supported features are not guaranteed.
Certain features may become temporarily unavailable due to third-party outages, maintenance, policy changes, or technical issues.

OneAI does not guarantee the continued availability of any particular AI model.

8. AI-Generated Content, Images, Videos and Responses Disclaimer

This section is an important condition of using OneAI.

OneAI provides an interface through which users can access AI technologies developed by third-party providers. AI-generated text, answers, code, recommendations, images, videos, audio, presentations, documents, and other outputs (“AI Outputs”) are produced using the relevant AI models and technologies.

8.1 Responsibility for AI Outputs

AI Outputs are generated in response to user prompts, instructions, uploaded materials, and model processing. They may not represent the opinions, views, beliefs, recommendations, or official statements of OneAi Limited.

To the maximum extent permitted by applicable law, OneAI disclaims responsibility for the independent content, accuracy, suitability, legality, originality, or consequences of AI Outputs, except to the extent liability cannot lawfully be excluded or arises from OneAI’s own breach of a non-excludable legal obligation.

OneAI does not independently create, verify, endorse, or approve every AI-generated response, image, video, or other output.

8.2 AI Can Make Mistakes

Artificial intelligence systems may produce content that is:

Incorrect, inaccurate, incomplete, or misleading.
Outdated or inconsistent with current facts.
Fabricated, including nonexistent references, citations, events, or information.
Biased, offensive, inappropriate, or unintentionally harmful.
Similar to existing content or potentially infringing third-party rights.
Technically incorrect, including defective code or instructions.
Unsuitable for a user's particular purpose.

AI-generated information must not be treated as guaranteed fact, professional advice, or a substitute for independent verification.

8.3 AI-Generated Images and Videos

AI-generated images, videos, audio, and other media may contain visual errors, fabricated scenes, inaccurate depictions, misleading representations, unintended similarities to real people, or other defects.

OneAI does not guarantee that generated media will be accurate, original, non-infringing, suitable for publication, or free from unintended content.

Users are solely responsible, to the extent permitted by law, for the prompts they submit, the media they generate, their decision to download or publish the results, and their subsequent use or distribution of those results.

You must not use generated media to impersonate individuals, create deceptive evidence, facilitate fraud, harass or threaten others, violate privacy, exploit minors, engage in sexual exploitation, or otherwise engage in unlawful or prohibited activities.

8.4 No Professional Advice

OneAI does not provide guaranteed professional medical, legal, financial, investment, tax, engineering, cybersecurity, or other regulated advice merely by providing AI-generated information.

You should consult a qualified professional before making significant decisions based on AI Outputs.

8.5 Independent Verification

You are responsible for checking the accuracy, completeness, legality, suitability, and safety of AI Outputs before relying on them, implementing them, sharing them, publishing them, or using them commercially.

You must not rely solely on AI Outputs for emergency decisions, medical treatment, legal proceedings, financial transactions, safety-critical systems, or other high-impact decisions.

8.6 No Guarantee of Results

OneAI does not warrant that any AI Output will satisfy your expectations, achieve a particular result, be error-free, or be fit for a particular purpose.

To the extent permitted by applicable law, OneAI shall not be liable for losses resulting from a user's reliance on AI Outputs, including losses arising from inaccurate information, generated media, code, recommendations, or third-party model behavior, except where such liability cannot lawfully be excluded.

9. User Prompts, Uploaded Content and User Responsibility

You retain responsibility for the prompts, instructions, files, images, videos, documents, and other materials you submit to OneAI (“User Content”).

You represent and warrant that:

You have the rights, permissions, and lawful authority necessary to submit and process your User Content.
Your User Content does not unlawfully infringe copyright, trademarks, privacy, publicity, confidentiality, or other third-party rights.
Your prompts and instructions do not violate applicable laws or these Terms.
You will not submit confidential, personal, sensitive, or proprietary information unless you have the necessary authority and a lawful basis to do so.
You will not use OneAI to generate, process, or distribute unlawful content or facilitate prohibited activities.

OneAI does not endorse or automatically adopt the views expressed in user prompts or AI Outputs.

Where legally permitted and technically necessary, OneAI may restrict, investigate, or respond to reported or detected misuse of the Platform.

10. Content Ownership and Intellectual Property

10.1 User Content

As between you and OneAI, you retain any rights you lawfully hold in your User Content.

You grant OneAI a limited, non-exclusive license to host, transmit, process, and otherwise use your User Content only as reasonably necessary to provide the requested services, maintain security, comply with legal obligations, and perform other activities disclosed in the Privacy Policy or separately authorized by you.

Any additional use of User Content will be subject to the Privacy Policy, applicable law, and any required consent.

10.2 AI Outputs

Ownership, copyright eligibility, originality, and permitted uses of AI Outputs may depend on applicable law, the nature of the output, third-party provider terms, and the rights of other persons.

To the extent OneAI has any transferable rights in an AI Output, it does not claim ownership of that output against you except as expressly stated in these Terms or required by law.

OneAI does not guarantee that an AI Output is eligible for copyright protection or that you will obtain exclusive rights to it.

10.3 Commercial Use

Commercial use of AI Outputs is subject to applicable law, third-party provider terms, intellectual property rights, and any restrictions associated with the particular model or feature.

You are responsible for determining whether your intended use is lawful and appropriately licensed.

10.4 OneAI Intellectual Property

The OneAI name, branding, logos, website design, software, interface, documentation, and other proprietary materials owned by OneAi Limited remain the property of the Company or its respective licensors.

You may not copy, modify, distribute, reverse engineer, or commercially exploit these materials without authorization, except where permitted by applicable law.

11. Acceptable Use and Prohibited Activities

You must use OneAI lawfully and responsibly.

You must not use, or attempt to use, the Platform to:

Violate any applicable law, regulation, court order, or lawful government direction.
Commit fraud, impersonation, deception, extortion, blackmail, or identity theft.
Generate or distribute malware, ransomware, phishing material, or other malicious code.
Facilitate unauthorized access, hacking, cyberattacks, credential theft, or security breaches.
Create or distribute unlawful threats, harassment, targeted abuse, or prohibited hateful content.
Generate, possess, request, or distribute child sexual abuse material or other illegal sexual content.
Create or distribute non-consensual intimate imagery, sexual deepfakes, or material intended for sexual exploitation or blackmail.
Create deceptive images, videos, audio, or documents intended to defraud, impersonate, or unlawfully harm another person.
Infringe copyright, trademarks, patents, trade secrets, privacy, or other legal rights.
Publish knowingly false or manipulated information for unlawful purposes.
Spread malicious disinformation or use AI-generated material to unlawfully deceive or intimidate others.
Circumvent security controls, subscription restrictions, usage limits, or access controls.
Scrape, extract, or collect data through unauthorized automated means.
Reverse engineer, disrupt, overload, or interfere with the Platform or its infrastructure, except where expressly permitted by law.
Resell, sublicense, commercially redistribute, or share account access without authorization.
Use OneAI in ways prohibited by the applicable third-party AI provider.
Use AI Outputs in safety-critical applications without appropriate independent review.
Facilitate any other unlawful, abusive, exploitative, or harmful activity.

OneAI may investigate suspected violations and take proportionate action, including content restrictions, account suspension, termination, or referral to relevant authorities where legally appropriate.

12. Cybersecurity, Security Controls and Prohibited Technical Activities

You must not compromise, attempt to compromise, or interfere with the confidentiality, integrity, or availability of OneAI.

Prohibited activities include:

Unauthorized access to accounts, systems, databases, servers, or networks.
Attempted exploitation of software vulnerabilities without authorization.
Denial-of-service attacks, malicious traffic generation, or deliberate service disruption.
Credential stuffing, password attacks, session theft, or authentication bypass.
Uploading malicious files, harmful scripts, or executable payloads intended to compromise systems.
Circumventing rate limits, access restrictions, subscription checks, or security measures.
Extracting source code, model credentials, API keys, or confidential technical information without authorization.
Using the Platform to conduct unauthorized surveillance or collect personal data unlawfully.
Testing or attacking third-party systems through OneAI without proper authorization.

If you identify a potential security vulnerability, you should report it responsibly to OneAI at support@oneaibd.com and avoid exploiting it, accessing unrelated data, or disclosing sensitive technical details publicly before appropriate coordination.

OneAI may implement technical, administrative, and organizational safeguards to protect its systems. However, no online service can guarantee absolute security against every cyberattack, vulnerability, or unauthorized activity.

Users must also maintain reasonable device security, protect their credentials, and avoid sharing authentication codes or other sensitive account information.

13. Compliance with Bangladesh Cybersecurity and Other Applicable Laws

You agree to use OneAI in compliance with the laws of Bangladesh and any other laws applicable to your use of the Platform.

This includes applicable laws relating to cybersecurity, data protection, privacy, intellectual property, fraud, harassment, exploitation, electronic communications, and unlawful publication or distribution of digital content.

In particular, you must not use OneAI to create, process, transmit, publish, or distribute content or material for unlawful purposes, including:

Threatening, blackmailing, harassing, or sexually exploiting another person.
Creating or distributing unlawful intimate images or deceptive AI-generated media.
Knowingly facilitating fraud, impersonation, or unlawful manipulation of digital content.
Illegally accessing, damaging, or interfering with computer systems or digital infrastructure.
Publishing or transmitting unlawful content with the intent or effect prohibited by applicable law.

Users are solely responsible for ensuring that their prompts, generated content, and subsequent activities comply with applicable law. This allocation of responsibility does not remove any legal obligation or liability that applies directly to OneAi Limited.

OneAI may restrict access to content or services, preserve relevant information where legally permitted or required, and cooperate with lawful requests from competent authorities.

References to specific legislation in these Terms are not exhaustive. The applicable legal requirements are those in force and relevant to the circumstances at the time of the activity.

Prohibited Offensive, Threatening or False Information

You must not use OneAI to transmit, publish, promote, or help distribute information through any digital or electronic medium that is offensive or threatening, or that you know to be false, with the intention of annoying, insulting, humiliating, or defaming another person.

You must also not knowingly publish, promote, or help distribute information that is wholly or partly distorted to damage the image or reputation of the State, create confusion, or spread misinformation.

A breach of this section may result in suspension or termination of your access to OneAI and may be referred to the relevant authorities where required by law.

14. Privacy and Data Processing

OneAI's collection, use, storage, disclosure, and other processing of personal information are governed by its Privacy Policy and applicable law.

To provide AI features, certain prompts, files, and related information may need to be transmitted to the relevant third-party AI provider or service provider.

Users should review the Privacy Policy to understand what information may be processed, for what purposes, and under what safeguards.

You should not submit passwords, payment card security codes, confidential business information, sensitive personal information, or other restricted data unless the relevant use is necessary, lawful, and appropriately authorized.

OneAI will handle personal information in accordance with its applicable privacy commitments and legal obligations.

Nothing in these Terms independently guarantees that all information will remain on servers in Bangladesh, that every third-party provider follows identical data practices, or that no legally required disclosure will ever occur. Any specific data location, retention, encryption, or provider commitments must be assessed against the Privacy Policy and the actual technical arrangements.

15. Third-Party Links, Integrations and Services

OneAI may provide access to third-party websites, applications, models, payment services, or integrations.

Such services may be subject to separate terms, privacy policies, and operational practices. OneAI does not control all aspects of third-party services and is not responsible for their independent acts or omissions, except to the extent responsibility cannot lawfully be excluded.

The inclusion of a third-party service does not constitute a guarantee, endorsement, or representation that the service will remain available or suitable for a particular purpose.

16. Service Availability, Maintenance and Changes

OneAI aims to provide a reliable service but does not guarantee uninterrupted, error-free, or continuous availability.

Services may be unavailable or restricted because of:

Scheduled maintenance or technical upgrades.
Third-party AI model outages or policy changes.
Payment provider or telecommunications failures.
Cybersecurity incidents or emergency protective measures.
Internet, network, cloud infrastructure, or equipment failures.
Regulatory requirements or other circumstances beyond reasonable control.

OneAI may update, replace, suspend, or discontinue features as reasonably necessary, subject to applicable law and any applicable contractual commitments.

Where required by law, OneAI will provide appropriate notice or other remedies.

17. Account Suspension and Termination

OneAI may suspend, restrict, or terminate your access where reasonably necessary if:

You breach these Terms.
Your account is associated with fraud, abuse, or unauthorized access.
Your activities create a material security or legal risk.
You violate applicable third-party provider policies.
OneAI is required to act by law or a lawful direction from a competent authority.
Continued service creates a material risk to the Platform, other users, or third parties.

Where appropriate and legally permissible, OneAI may provide notice and an opportunity to address the issue.

Termination does not eliminate outstanding payment obligations or liabilities that accrued before termination.

Refunds following suspension or termination are governed by Section 5 and applicable law. No provision of these Terms removes a right to a refund or other remedy that cannot lawfully be excluded.

18. Limitation of Liability

To the maximum extent permitted by applicable law, OneAi Limited shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings arising from or related to the use of, inability to use, or reliance on the Platform.

Subject to applicable law, OneAI does not accept responsibility for:

Inaccuracies, omissions, fabricated information, or errors in AI Outputs.
AI-generated images, videos, audio, documents, code, or other media.
Decisions or actions taken by users in reliance on AI Outputs.
Content supplied by users or independently generated by third-party AI providers.
Losses arising from unauthorized access caused by circumstances beyond OneAI’s reasonable control.
Third-party service interruptions, provider policy changes, or external payment failures.
A user's unlawful use, publication, distribution, or commercial exploitation of AI Outputs.
A user's failure to verify content or obtain required permissions.

The Platform is provided on an “as is” and “as available” basis, subject to any warranties or rights that cannot lawfully be excluded.

Nothing in this section excludes or limits liability for fraud, wilful misconduct, gross negligence where exclusion is prohibited, breach of a non-excludable statutory duty, or any other liability that applicable law does not permit OneAI to exclude or limit.

19. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless OneAi Limited, its directors, officers, employees, and authorized representatives against third-party claims, losses, liabilities, and reasonable legal expenses arising directly from:

Your unlawful use of OneAI.
Your material breach of these Terms.
Your infringement of another person's intellectual property, privacy, or other legal rights.
Your unauthorized publication or distribution of User Content or AI Outputs.
Your fraudulent, malicious, or abusive activities through the Platform.

This provision applies only to the extent the relevant claim is attributable to your conduct and does not excuse OneAI from liability for its own acts or omissions where applicable law prohibits such an exclusion.

20. Children and Minors

OneAI is not intended to be used in violation of applicable age restrictions or child protection laws.

Users must meet the applicable minimum age and consent requirements before registering or using the Platform.

Where parental or guardian consent is legally required, the relevant parent or guardian must provide that consent and supervise the use as required by law.

OneAI may restrict or terminate accounts where it reasonably believes that the applicable age or consent requirements have not been met.

21. Force Majeure

OneAI shall not be responsible for delays or failures to perform obligations to the extent caused by circumstances beyond its reasonable control, including natural disasters, widespread network failures, cyberattacks, power outages, war, civil unrest, government action, regulatory restrictions, third-party infrastructure failures, or other comparable events.

This provision does not excuse obligations that cannot lawfully be excluded or suspended.

22. Changes to These Terms

OneAI may revise these Terms from time to time to reflect changes in services, technology, business operations, security requirements, or applicable law.

Updated Terms will be published through the Platform, together with a revised effective or updated date.

Where required by applicable law, OneAI will provide advance notice or obtain consent before material changes take effect.

Your continued use of OneAI after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law. If you do not agree to the revised Terms, you must discontinue use of the affected services and cancel any subscription as appropriate.

23. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a competent court or authority, the remaining provisions will remain effective to the extent permitted by law.

The invalid or unenforceable provision will be interpreted or limited only as necessary to give effect to the parties' lawful intentions.

24. No Waiver

A failure or delay by OneAI in exercising a right under these Terms does not constitute a waiver of that right.

Any waiver must be given in accordance with applicable law and, where appropriate, in writing by an authorized representative of OneAi Limited.

25. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms expressly applicable to particular features or subscriptions, constitute the agreement governing your use of OneAI, subject to mandatory legal requirements.

If a feature-specific agreement conflicts with these Terms, the feature-specific agreement will prevail only to the extent expressly stated or legally required.

26. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the People’s Republic of Bangladesh.

Subject to applicable mandatory law, disputes arising out of or relating to these Terms or your use of OneAI shall be submitted to the competent courts of Bangladesh.

Nothing in this section prevents a consumer from exercising a mandatory legal right to bring a claim before another competent forum where applicable law permits or requires it.

28. User Acknowledgment

By registering for, purchasing, accessing, or using OneAI, you acknowledge that:

OneAI provides access to third-party AI technologies and AI-powered tools.
AI-generated responses, images, videos, code, documents, and other outputs may contain errors, inaccuracies, misleading information, or inappropriate content.
OneAI does not guarantee the accuracy, originality, legality, or suitability of every AI Output.
You are responsible for verifying AI Outputs and assessing their suitability before relying on or distributing them.
You must use OneAI responsibly and comply with applicable cybersecurity, privacy, intellectual property, and other laws.
Your use of OneAI remains subject to these Terms, the Privacy Policy, and applicable subscription conditions.
